These Terms of Service (the "Terms") govern your access to and use of Noede's online services — the account system, the credits and payment system, the encrypted API-key vault, the asset storage, and the auto-update endpoint hosted at api.noede.one (the "Services").
The desktop application itself is licensed under our End-User License Agreement. Your use of personal data is described in our Privacy Policy. By using the Services, you accept these Terms together with the EULA and Privacy Policy.
1. Eligibility
You must be at least 18 years old. By signing up you confirm that the information you provide is accurate and that you have the legal capacity to enter into this agreement.
2. Accounts
One account per person.
You are responsible for all activity under your account and for keeping your credentials safe.
You must notify us at noedeapp@icloud.com if you suspect unauthorised use of your account.
3. Credits
The Services use a credit system to pay for execution of AI nodes that use Noede's platform API keys.
Free trial credits — new accounts receive 50 free credits as a trial. These are non-transferable and have no cash value.
Purchased credits — bought via Stripe checkout. Purchases are charged in the currency Stripe presents.
BYOK (Bring Your Own Key) execution — when you configure your own API key for a provider and have an active paid subscription, node executions using that key do not consume credits.
Platform execution — when you use Noede's platform-supplied keys, credits are deducted per the node's listed cost.
Refunds for failures — if a node execution fails for reasons attributable to Noede or the third-party provider, the credits are automatically refunded.
Subscription plans — Hobby, Pro and Max plans grant a monthly allotment of credits and unlock features such as BYOK.
Credits and unused subscription allotments expire 12 months after the last purchase or renewal, except where prohibited by local consumer law.
4. Payments and refunds
Payments are processed by Stripe, Inc. under Stripe's terms.
Recurring subscriptions renew automatically until cancelled. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period.
EU 14-day right of withdrawal: as the Services deliver digital content immediately upon purchase, you expressly waive your 14-day withdrawal right under EU Directive 2011/83/EU when you initiate your first node execution after purchase.
Discretionary refunds: outside the cases above, refund requests are considered on a case-by-case basis. Email noedeapp@icloud.com.
5. Acceptable use
You agree not to:
use the Services to generate content that is illegal under Spanish or EU law, including content sexualising minors, non-consensual intimate imagery, incitement to violence, terrorist content, or content infringing third-party intellectual property;
violate the content policies of any integrated AI provider (Google, OpenAI, ByteDance, Kuaishou/Kling, Freepik, fal.ai, Topaz, Magnific, Runway, LumaLabs, Pika, MiniMax, etc.);
attempt to extract, scrape, or reverse-engineer the Services;
bypass rate limits, credit checks, or any technical protection mechanism;
use automated systems (other than the official Software) to access the Services;
share your account, sell credits to third parties, or resell access to the Services;
use the Services to develop a competing product.
We may suspend or terminate accounts that violate these rules. For egregious violations (e.g. CSAM, fraud) we will report to the appropriate authorities.
6. Your content
You retain whatever rights the integrated AI provider grants you in your generated outputs.
You grant Noede a non-exclusive, royalty-free, worldwide licence to process, transmit, store, and display content you submit, only as needed to operate the Services on your behalf.
We do not train models on your content and do not use it for promotional purposes without your explicit consent.
7. Third-party services
The Services integrate third-party AI providers. We make a reasonable effort to keep these integrations working, but we do not guarantee the availability, quality, or legality of any third-party output. Provider outages, price changes, or content-policy changes are outside our control.
8. Service availability
We aim for high availability but do not guarantee uninterrupted access. The Services may be unavailable during maintenance, updates, or due to events beyond our reasonable control. We are not liable for losses caused by such downtime.
9. Beta features
Features labelled "beta" or "preview" are provided as-is and may change, break, or be removed without notice.
10. Termination
You may close your account at any time from the in-app settings or by emailing noedeapp@icloud.com. We may suspend or terminate your account if you breach these Terms, fail to pay, or use the Services in a way that creates legal risk. Unused credits at termination are forfeited unless local consumer law requires otherwise.
11. Limitation of liability
To the maximum extent permitted by law, Noede's total liability arising out of or relating to the Services will not exceed the greater of (a) the amount you paid in the 12 months preceding the claim, or (b) EUR 50. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption.
12. Indemnification
You agree to indemnify Noede against claims arising from content you submit, your use of the Services, or your breach of these Terms.
13. Governing law and disputes
These Terms are governed by the laws of Spain. Disputes will be brought in the courts of the Province of Barcelona, Spain, except where mandatory consumer law gives you the right to litigate in your local court.
14. Changes to these Terms
We may amend these Terms. Material changes will be announced inside the Software and by email at least 14 days before they take effect. If you continue to use the Services after the effective date, you accept the changes.
